LSF6 Rio S.à r.l. macht ein Kaufangebot an die Inhaber der Hybrid
Schuldverschreibungen und der Capital Schuldverschreibungen
LSF6 Rio S.à r.l., Luxemburg, (die "Käuferin") gibt hiermit ihr Angebot an
die Inhaber (die "Anleihegläubiger") der von der Hybrid Raising GmbH
begebenen Schuldverschreibungen (ISIN DE000A0AMCG6, "Hybrid
Schuldverschreibungen") und von der Capital Raising GmbH begebenen
Schuldverschreibungen (ISIN DE0007490724, "Capital Schuldverschreibungen")
(zusammen die "Schuldverschreibungen") bekannt, sämtliche
Schuldverschreibungen zum Barkaufpreis von 20 % des Nennbetrags zu erwerben
(das "Angebot").
Das Angebot beginnt heute, am 13. Januar 2016, (der "Beginn des Angebots")
und endet um 16:00 Uhr (MEZ) am 2. Februar 2016 (das "Fristende des
Angebots"), vorbehaltlich einer Verlängerung.
Die Schuldverschreibungen haben wirtschaftlich an Verlusten der IKB
teilgenommen und zuletzt im Juli 2007 Zinszahlungen erhalten. Der
Rückzahlungswert der Schuldverschreibungen hat sich zum 31. März 2012 auf
EUR 0,00 reduziert und ist seither auf diesem Niveau verblieben. Die
Käuferin beabsichtigt, nach Abschluss des Angebots den Emittenten
vorzuschlagen, dass sie Gläubigerversammlungen einberufen, die über eine
Änderung der Anleihebedingungen dahingehend beschließen, dass die
Schuldverschreibungen beendet und zu einem Betrag von 12,5 % des
Nennbetrags (die "Restrukturierungszahlung") zurückgezahlt werden. Je nach
Höhe der Teilnahmequote an den Gläubigerversammlungen hält die Käuferin
möglicherweise genügend Schuldverschreibungen, um das Ergebnis der
Beschlussfassungen zu kontrollieren. Wenn die vorstehend beschriebene
Restrukturierung durchgeführt wird, ist sie für alle Gläubiger verbindlich,
einschließlich solcher Gläubiger, die in der Gläubigerversammlung dagegen
gestimmt haben. Die Käuferin hat von einer der vier größten internationalen
Wirtschaftsprüfungsgesellschaften eine Fairness Opinion im Sinne des IDW
Standard "Grundsätze für die Erstellung von Fairness Opinions" (IDW S8) für
die Restrukturierungszahlung erhalten, welche die Restrukturierungszahlung
als finanziell angemessen im Sinne des IDW S8 beurteilt.
Der Kaufpreis in Höhe von 20 % des Nennbetrags beinhaltet eine signifikante
Prämie gegenüber vorangegangen Börsenpreisen: nach Daten von Bloomberg
betrug der volumengewichtete Dreimonatsdurchschnittskurs zwischen dem 16.
September 2015 und dem 15. Dezember 2015 für die Capital
Schuldverschreibungen 12,00 % und für die Hybrid Schuldverschreibungen
12,04 % des Nennbetrags. Zudem bietet das Angebot den Anleihegläubigern die
Möglichkeit, ihr Investment mit einer Prämie von 7,5 % des Nennbetrags
gegenüber der Restrukturierungszahlung zu beenden.
Das Angebot wird gemäß der Bestimmungen und vorbehaltlich der Bedingungen
des Tender Offer Memorandums vom 13. Januar 2016 gemacht, welches kostenlos
vom Tender Agent und den Gemeinsamen Dealer Managern unter den
nachstehenden Adressen bezogen werden kann. Voraussichtlicher
Abrechnungstag für das Angebot ist der 9. Februar 2016.
Um das Angebot anzunehmen, müssen Anleihegläubiger bis zum Fristende des
Angebots Annahmeerklärungen an ihre Depotbanken übermitteln, über die sie
ihre Schuldverschreibungen halten. Anleihegläubiger, die Hilfestellung bei
der Annahme des Angebots brauchen, sollten die Gemeinsamen Dealer Manager
unter den unten stehenden Adressen oder ihre Depotbank kontaktieren. Die
Fristen, die von einer Depotbank, über welche Anleihegläubiger
Schuldverschreibungen halten, oder von Clearstream Banking AG, Frankfurt am
Main und/oder Clearstream Banking S.A., Luxemburg und/oder Euroclear Bank
SA/NV gesetzt werden, enden möglicherweise vor dem Fristende des Angebots.

to above and generally as set out in "Procedures for Participating in the
Offer" of the Tender Offer Memorandum. Any tender of Notes for purchase
pursuant to the Offer from a Noteholder that is unable to make these
representations may be rejected. Each of the Purchaser, the Joint Dealer
Managers and the Tender Agent reserves the right, in their absolute
discretion, to investigate, in relation to any tender of Notes for purchase
