Dezember 2019 - SCHMOLZ + BICKENBACH, ein weltweit führendes Unternehmen für Speziallangstahl, hat von der Eidgenössischen Finanzmarktaufsicht FINMA einen positiven Bescheid zur Beschwerde gegen die Verfügung der Übernahmekommission vom 22. November 2019 erhalten. Die Übernahmekommission hatte erstinstanzlich das Gesuch von Martin Haefner/BigPoint Holding AG betreffend Ausnahme von der Angebotspflicht abgelehnt. Damit kann die von den Aktionärinnen und Aktionären am 2. Dezember 2019 im Rahmen der ausserordentlichen Generalversammlung beschlossene Aktienkapitalerhöhung wie geplant durchgeführt werden. Die Ausnahme wurde unter der Auflage erteilt, dass Martin Haefner/BigPoint Holding AG ein Pflichtangebot für alle kotierten Beteiligungspapiere der SCHMOLZ + BICKENBACH AG unterbreiten müssen, sofern am 31. Dezember 2024 ihre Beteiligung (direkt, indirekt oder in gemeinsamer Absprache mit Dritten) noch über dem Grenzwert von 331/3% der Stimmrechte an der SCHMOLZ + BICKENBACH AG liegt. Diese Auflage wurde von Seiten Martin Haefner/BigPoint Holding AG akzeptiert und die Bedingung im Commitment von Martin Haefner/BigPoint Holding AG, dass eine Ausnahme von der Übernahmepflicht gewährt wird, für erfüllt erklärt. Der Entscheid der FINMA wurde SCHMOLZ + BICKENBACH am Sonntag mitgeteilt. Das Unternehmen zeigt sich erfreut darüber, dass die FINMA die Beschwerde gegen die Verfügung der Übernahmekommission gutgeheissen hat. Damit können sich die grossen Aktionäre wie geplant an der Rekapitalisierung des Unternehmens beteiligen.
